How the MCA21 — the consolidated SPICe+ challan (company) or FiLLiP (LLP) flow works
MCA charges the government side of an incorporation through one consolidated SPICe+ challan, and its heads are the honest itemisation of what a company costs: the SPICe+ form fee, the memorandum fee, the articles fee, PAN, TAN, and the URC-1 fee where applicable. Any quote that does not map onto those heads is mixing someone's margin into a government line.
The MCA form fee is nil up to ₹15,00,000 of authorised capital. MCA states this twice in its own material — notification G.S.R. 180(E) dated 6 March 2019 amended rule 38(2) of the Companies (Incorporation) Rules, 2014, and its SPICe+ FAQ confirms that companies incorporating with authorised capital up to ₹15,00,000 pay zero filing fee and bear only state stamp duty. Above that threshold the registration fee is capital-linked, built from the Table of Fees: ₹5,000 for the first ₹1,00,000 of nominal capital, then ₹400 per ₹10,000 up to ₹5,00,000, ₹300 per ₹10,000 up to ₹50,00,000, ₹100 per ₹10,000 up to ₹1 crore, and ₹75 per ₹10,000 above that. For a specific figure above the threshold, price it on MCA's own fee service rather than trusting a computed number.
Stamp duty is where the money actually is, and it is State law. On MCA's published rates, the incorporation eForm plus memorandum plus articles for a private company with ₹1,00,000 authorised capital works out at about ₹41 in Dadra and Nagar Haveli, ₹135 in Haryana, ₹360 in Delhi, ₹1,300 in Maharashtra, ₹7,550 in Madhya Pradesh and ₹10,025 in Punjab. At ₹10,00,000 of capital the top of that range rises to about ₹15,025. That spread is why a single national 'company registration cost' is not a real number. MCA's own table carries a disclaimer directing users to the concerned State's Stamp Act for the authentic position, and SPICe+ computes the binding amount at filing.
Two small heads people guess at, now sourced: PAN is ₹66 and TAN is ₹65, per MCA's SPICe+ FAQ. And name reservation costs ₹1,000 only if SPICe+ Part A is filed separately — file Part A and Part B together and no separate name-reservation fee arises. An approved name is valid 20 days, extendable to 40 days for ₹1,000, to 60 for ₹2,000 from 40, or 20 to 60 in one step for ₹3,000.
We do not publish a DSC price, and you should be wary of anyone who quotes one as a government fee. There is no statutory rate for a Digital Signature Certificate — it is priced commercially by a licensed Certifying Authority. The same applies to LLP agreement stamp duty: MCA's consolidated table covers company memoranda and articles only, so the LLP agreement figure comes from your State's Stamp Act and we confirm it before you pay rather than asserting one.
For an LLP, the fee structure is different again and runs by contribution rather than authorised capital: FiLLiP is ₹500 up to ₹1,00,000 of contribution, ₹2,000 above that to ₹5,00,000, ₹4,000 above that to ₹10,00,000, and ₹5,000 above that, rising to ₹25,000 for the largest contributions. Form 3 for the LLP agreement runs ₹50 to ₹200 on the same slabs, and a separate RUN-LLP name reservation is ₹200.
